Agreement (“Agreement”)
Issuer:SDK (hereinafter "We"), a legally established and operated entity offering SDK products and related services, holding all intellectual property rights and operational rights related to the SDK.
These Terms of Service (hereinafter "These Terms") constitute a formal agreement between Us and Users regarding the use of the SDK (hereinafter "The SDK", including related software, code, documentation, version updates, and technical support services). These Terms are also applicable to the "SDK Privacy Policy" issued by Us (effective on the same day as These Terms). By downloading, installing, integrating, or using any SDK-related products and services, Users are deemed to have fully read, understood, and unconditionally agreed to these Terms and the "SDK Privacy Policy." If Users do not agree with any part of these Terms, they must immediately stop using all related products and services of the SDK and delete any related content.
Preamble
The SDK is a bandwidth-sharing monetization solution independently developed by Us, providing developers with a compliant application monetization channel and offering end-users the opportunity to improve their application experience by sharing network bandwidth. We adhere strictly to applicable global laws, regulations, and industry standards, including but not limited to the European Union's General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), ensuring the protection of users' data security and legitimate privacy rights through industry-standard technical and management measures. These Terms are divided into Developer-specific and End User-specific sections based on the user's usage scenario and identity. Users should adhere to the appropriate section based on their actual usage situation. The general terms apply to all Users and are binding.
Part One: Terms Applicable to Application Developers
1 License to Use
We grant Developers a non-exclusive, non-transferable, and non-sublicensable limited license to integrate the SDK into their legally developed and compliant applications, providing bandwidth-sharing monetization functionality for the application’s end-users. The scope of use is limited to what is specified in these Terms.
Developers may not use the SDK for any illegal, non-compliant, or unethical activities. Developers may not reverse-engineer, decompile, disassemble, modify, or transfer, rent, lend, or otherwise make the SDK available to third parties. Developers may not create derivative products based on the SDK.
Developers are responsible for ensuring that their applications integrating the SDK comply with all applicable laws and regulations in the regions where the application is operated. Developers assume full responsibility for the legality and compliance of their application content.
2 Core Obligations
(A) Privacy and Data Protection Obligations
1.As the application operator, Developers bear the primary responsibility for collecting, using, storing, and processing end-user data, and must strictly comply with these Terms and the "SDK Privacy Policy." Specific obligations include:
2.Informed and Express Consent: Before enabling any SDK features, Developers must clearly and prominently inform end-users about the types of data being collected by the SDK (including IP address, device information, bandwidth data, network status data, etc.), the processing methods, usage purposes, and data sharing scope. The SDK features may only be enabled after obtaining the end-user's informed, voluntary, and revocable consent.
3.Privacy Policy Disclosure: Developers must clearly state in their application's privacy policy the data processing practices related to the SDK or provide a direct link to the official "SDK Privacy Policy," ensuring that end-users can always access and review complete information. The privacy policy must be simple, clear, and free of any vague or misleading language.
4.Data Usage Transparency: Developers must clearly inform end-users about how the SDK collects and uses bandwidth traffic data, and explicitly state that such data will not be used for advertising, tracking, or any other purposes not covered in these Terms and the privacy policy.
5.Withdrawal of Consent and Data Deletion: Developers must provide an easy and accessible feature for end-users to withdraw their consent at any time. Upon receiving a withdrawal request, Developers must immediately notify Us and cooperate in ceasing the collection, processing, and deletion of the user's data. Developers must also ensure timely removal of related data on their end.
(B) Operational and Cooperation Obligations
1.Developers must integrate and use the SDK according to the official technical documentation and development guidelines provided by Us, without modifying the SDK code, interfaces, or logic in ways that could impact the normal operation of the SDK or pose data security risks to end-users.
2.Developers must provide valid contact information (including email and customer service channels) in the application to receive and respond to end-user inquiries and complaints regarding SDK usage, monetization, privacy, etc.
3.Developers must immediately report any illegal use, security vulnerabilities, or functional issues related to the SDK to Us and cooperate in taking corrective and remedial actions.
Part Two: Terms Applicable to End Users
3 License to Use
1.We grant end-users a non-exclusive, non-transferable, and non-sublicensable limited license to share their legally owned or authorized network bandwidth through applications integrating the SDK, after clearly consenting and authorizing, in accordance with these Terms and the rules specified within the application.
2.End-users may not use the SDK for any illegal activities, including but not limited to: tampering with device network settings, falsifying bandwidth data to obtain improper benefits, using shared bandwidth for illegal data transmission, network attacks, or infringement activities, modifying or interfering with the SDK’s functionality or data collection rules, transferring SDK usage rights to third parties, or sharing accounts/devices to use SDK services.
4 Core Rights
1.Informed and Voluntary Consent: End-users have the right to access all clear and complete information about the SDK within the application, including bandwidth-sharing methods, data collection, revenue rules, and exit mechanisms. End-users have the right to choose whether to consent to the use of the SDK. Developers must not force or induce users to consent, and the SDK features cannot be enabled before consent is obtained.
2.Right to Withdraw Consent at Any Time: After consenting to the SDK, end-users can exit the SDK service at any time via an in-app exit button, without the need for developer approval. Upon withdrawal, bandwidth-sharing and data collection will immediately stop, and the user may choose to re-enable the SDK at any time.
3.Data Privacy and Security Rights: End-users have the right to ensure that their personal data is protected by Us and the application developer in accordance with these Terms and the "SDK Privacy Policy." End-users also have the right to exercise their statutory rights, including data access, deletion, correction, and portability, according to official procedures. If any data breach or misuse occurs, end-users have the right to request corrective actions and seek relevant accountability.
4.Revenue Use Oversight and Experience Optimization: End-users have the right to know how developers use the revenue earned through the SDK. Developers must prioritize using these revenues to improve user experience (e.g., reducing in-app ads). If end-users find that developers are not using the revenue as promised, they have the right to file complaints with Us and relevant authorities.
5.Consultation, Feedback, and Complaints: End-users have the right to consult with the application developer or Us via official support channels regarding SDK functionality, revenue settlement, exit operations, data processing, etc. The relevant parties should provide reasonable responses within 24 hours. End-users have the right to file complaints about developer violations (e.g., forced consent, lack of exit button, revenue withholding), and We will investigate and address the complaint within 5 business days.
6.Complete Data Deletion Right: After exiting the SDK, end-users have the right to request that both the developer and Us immediately stop collecting and processing their data and fully delete all related data, with no copies retained.
5SDK Usage Restrictions
YOU CANNOT ENABLE OPS SDK OR ACCEPT THIS AGREEMENT IF:
1.You are not of legal age in the country of your official address or are otherwise legally incapable of entering into a binding agreement. In such cases, you may only enable OPS SDK if you notify the OPS team via support and obtain parental or legal guardian consent before proceeding with the SDK installation and agreeing to this Agreement.
2.Applicable laws prohibit you from enabling OPS SDK or similar products, including the laws of the country where you reside or the country in which you are using the OPS SDK.
3.You are restricted by agreements with your Internet Service Provider, mobile service provider, or similar entities that govern how you can share your internet traffic, IP, or device resources, making it impossible to enable OPS SDK.
4.You are developing or have developed a competing product and intend to use OPS SDK for competitive purposes, such as monitoring its availability, performance, or functionality.
Part Three: General Terms Applicable to All Users
6 Intellectual Property Statement
1.We are the sole owner of all intellectual property rights related to the SDK, including but not limited to copyright, trademark rights, patents, trade secrets, and database rights. All rights not explicitly granted to Users under these Terms are reserved by Us.
2.Users may not infringe on Our intellectual property rights in any way. Without Our written permission, Users may not copy, distribute, display, adapt, or translate any part of the SDK. Users may not use Our trademarks or branding for commercial purposes or register them as intellectual property.
3.Any feedback, suggestions, improvements, or other information provided by Users during their use of the SDK will be considered as granted to Us as royalty-free, exclusive usage rights, and We may use, develop, and commercialize such information in any form without compensating the Users.
7 Data Security and Privacy Protection
1.We will strictly follow the "SDK Privacy Policy" to collect, use, store, and share user data. We will implement industry-standard technical protection measures (including data encryption, access control, and regular security audits) and management measures (including employee confidentiality agreements and permissions management) to prevent unauthorized access, use, disclosure, alteration, or destruction of data.
2.We will retain user data only for the duration necessary to provide the SDK service and fulfill legal obligations. Upon expiration of the retention period or withdrawal of consent, we will delete or anonymize the related data.
3.If any data security incidents (such as leakage, theft, loss, etc.) occur related to the SDK, We will take immediate corrective measures and notify affected users and relevant regulatory authorities according to legal requirements.
4.4.Users must comply with privacy policies and relevant laws and regulations while using the SDK and may not collect, use, or disclose third-party data obtained through the SDK without authorization.
8 Product Updates and Maintenance
1.We reserve the right to update, upgrade, optimize, or adjust the SDK according to technological developments, business needs, or compliance requirements (hereinafter "Version Updates"). We will notify users of updates through official websites, developer portals, in-app notifications, or other channels.
2.Developers must follow Our published requirements and integrate the latest SDK version into their applications in a timely manner. Developers are responsible for any security risks or losses arising from failing to update the SDK on time.
3.We will provide reasonable technical support and maintenance services for the current official latest version of the SDK. We reserve the right to stop providing support and maintenance for any version that has been officially discontinued.
4.End-users should follow the prompts from the application developer or app store to update their application versions to ensure proper use of the latest SDK features and services.
9 Limitation of Liability
1.To the maximum extent permitted by law, We are not liable for any indirect, incidental, special, or consequential damages (including loss of profits, business opportunities, data loss, or service interruptions) arising from the use or inability to use the SDK service, whether or not the damages were foreseeable.
2.To the maximum extent permitted by law, Our total liability for any direct losses arising from the SDK service is limited to the total amount paid by the User for the service in the past 12 months.
3.We are not responsible for any damages caused by third-party actions (including Developers' violations of these Terms, app store rule changes, network service provider failures, or third-party malicious attacks).
4.We are not liable for failure to perform Our obligations due to force majeure (including natural disasters, wars, government orders, network disruptions, technical failures beyond Our control, or changes in laws and regulations). We will notify users promptly and take reasonable measures to mitigate the effects.
5.Any losses arising from violations of these Terms by application developers or improper use of the SDK service, including failure to follow Our official guidelines or providing false information, will be borne by the users themselves.
10 Changes and Notification of Terms
1.We reserve the right to modify or update these Terms according to legal regulations, business development, or service adjustments. Any modifications will be published on Our official website, developer portal, or other channels, and will take effect after the specified notification period.
2.We will notify users of any changes to these Terms at least 10 days in advance. If users do not agree with the modified terms, they should immediately stop using SDK-related products and services. Continued use after the change is deemed acceptance of the updated terms.
11 Termination of Service
1.Users may terminate the service agreement by stopping the use of SDK-related products and services and deleting all related content.
2.If users violate any provisions of these Terms, We reserve the right to suspend or terminate the SDK service to the user without compensation. Users must immediately stop all unauthorized use, and if any losses are caused to Us, we may require users to compensate.
3.After service termination, provisions regarding intellectual property, liability limitations, dispute resolution, and data deletion will remain in effect. We will delete or anonymize users' personal data as required by the "SDK Privacy Policy," and Developers should cooperate in clearing end-user data and settling any outstanding earnings.
12 Miscellaneous
1.These Terms constitute the complete agreement between Us and Users regarding SDK services, superseding all prior oral and written agreements.
2.If any part of these Terms is found to be invalid, illegal, or unenforceable, the remaining parts will remain valid and enforceable.
